TERMS OF USE AGREEMENT

This Terms of Use Agreement (the “Agreement”) is a legally binding agreement between SKID (dba SidekickID), a registered sole proprietorship in South Korea (“SidekickID” or “SKID”), and the client, whether personally or on behalf of an entity (“Client”), regarding access to and use of SidekickID’s website: https://www.sidekickid.com (the “Website”) and any other related media, channels, mobile websites, or applications connected thereto.

By accessing or using the Website, the Client agrees to all terms, conditions, and obligations contained herein. If the Client does not agree to all terms, they must immediately discontinue use. Upon termination of the relationship between Client and SidekickID, all obligations to compensate SidekickID for services rendered shall remain in effect.

1. Intellectual Property Rights

Unless otherwise indicated, the Website and all related materials, including but not limited to source code, databases, software, website designs, industrial design concepts, 3D models, prototypes, sketches, technical drawings, text, and graphics (the “Content”), as well as any associated trademarks, service marks, and logos (the “Marks”), are owned and controlled by SidekickID. These materials are protected by copyright, trademark, and other intellectual property laws of South Korea and international conventions. The Content and Marks are provided “As-Is” for informational and personal use only. Except as expressly provided, no part of the Website or its Content may be copied, republished, uploaded, displayed, transmitted, sold, or otherwise exploited for any commercial purpose without prior written consent from SidekickID. All rights in the Website, Content, and Marks remain with SidekickID.

2. Ownership of Materials

Notwithstanding SidekickID’s ownership of Submissions, as described in Paragraph 6 (“Client Feedback”), and unless otherwise agreed upon in writing, all industrial design concepts, technical drawings, CAD models, prototypes, and related files created by SidekickID for the Client (“Projects”) are the sole property of the Client. In the event that any operation of law would grant SidekickID ownership rights, SidekickID hereby irrevocably assigns its entire interest in the Project to the Client. The Client warrants that any materials provided to SidekickID as examples or as material to be incorporated into a project during the design process are owned by Client and do not infringe on or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity. SidekickID reserves the right to showcase Client projects publicly (including on its website, social media, and marketing materials) unless otherwise agreed upon in writing. If confidentiality is required, the Client must notify SidekickID, and both parties may enter into a Non-Disclosure Agreement (NDA) to restrict public sharing.

3. Third-Party Components & Licensing

If any Project incorporates third-party materials, including but not limited to licensed 3D models, fonts, software, patents, or proprietary components (“Third-Party Materials”), SidekickID will notify the Client of any necessary licensing requirements. The Client assumes full responsibility for obtaining any required commercial licenses or permissions before reproducing, distributing, or publicly displaying the Project. If SidekickID informs the Client of such requirements, SidekickID bears no liability for any legal consequences resulting from the Client’s failure to obtain proper licenses.

4. Client Representations

By using the Website, the Client represents and warrants that: The Client has the legal capacity and agrees to comply with these Terms of Use; The Client’s use of the Website will not violate any applicable laws; The Client has the legal capacity to enter into this Agreement; The Client is not a minor in their jurisdiction; The Client will not access the Website through automated or non-human means; The Client will not use the Website for illegal or unauthorized purposes;

5. Prohibited Activities

Clients shall not: Use the Website in a way that violates intellectual property laws; Use the Website for any purpose other than intended (industrial design services); Circumvent security features or interfere with Website functionality; Reverse engineer, decompile, or tamper with Website software; Use the Website in an attempt to compete with SidekickID; Upload viruses, malware, or harmful content; Harass, threaten, or defame SidekickID or its representatives.

6. Client Feedback

Any feedback, suggestions, or improvements proposed by the Client (each a “Submission”) shall become the sole property of SidekickID. SidekickID is under no obligation to maintain the confidentiality of any Submission and may use it without compensation or restriction. However, the Client retains full ownership of any industrial design work created as part of the subscription service (as outlined in Section 2).

7. Management & Oversight

SidekickID reserves the right to: Monitor Website activity for compliance with these Terms; Restrict or terminate Client access if terms are violated; Take legal action in response to any breach of this Agreement. All Website management decisions are at SidekickID’s sole discretion.

8. Privacy Policy

By using the Website, the Client agrees to SidekickID’s Privacy Policy. The Website is hosted in the United States of America. Clients accessing it from other regions acknowledge that different data protection laws may apply. Client’s continued use of the Website and transfer of data to the United States constitutes express consent of Client to the transfer and processing of data in the United States. SidekickID does not knowingly accept or solicit information from individuals under the age of 18. In accordance with the United States’ Children’s Online Privacy Protection Act, upon the receipt of actual knowledge that an individual under the age of 13 has provided personally identifiable information to SidekickID without parental consent, SidekickID shall delete that information as soon as reasonably practical.

9. Refund Policy

SidekickID reserves the right to deny refunds based on its own self discretion and without notice or liability to Client. Refund requests are reviewed on a case-by-case basis; Should Client request a refund during the first month of use, all materials produced by SidekickID are ownership of SidekickID and are prohibited from being used by the Client in any way. If a refund is approved, a 25% processing fee will be deducted from the remaining billable period; If a refund is granted during the first month, all design materials remain the property of SidekickID and may not be used by the Client; Transaction fees (e.g., credit card processing fees) are non-refundable; Transaction fees (e.g., credit card processing fees) are non-refundable.

10. Modifications

SidekickID reserves the right to change, alter, modify, amend or remove anything or any content on the Website for any reason at its sole discretion. SidekickID reserves the right to modify or discontinue all or part of the Website without notice and without liability to Client.

11. Service Interruptions

SidekickID does not guaranty or warrant the Website will be available and accessible at all times. Issues with hardware, software or other items may result in interruption delays or errors beyond SidekickID’s control. Client agrees that SidekickID shall not be liable to Client for any loss, damage or inconvenience caused by Client’s inability to access or use the Website during any interruption in the connection or service.

12. Governing Law

This Agreement is governed by the laws of South Korea.

13. Litigation

Any disputes shall be resolved in the Seoul District Court, South Korea.

14. Disclaimer

The Website is provided on an as-is, as-available basis. Client agrees that its use of the Website and Services are at Client’s sole risk. SidekickID disclaims all warranties, express or implied, in connection with the Website and Client’s use thereof, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement. SidekickID makes no warranties or representations about the accuracy or completeness of the Website or any content thereon or content of any websites linked to the Website and SidekickID assumes no liability for any errors, mistakes or inaccuracies of content and materials, personal injury or property damage, of any nature whatsoever, any unauthorized access to or use of SidekickID’s secure servers and/or any personal information and/or financial information stored therein, any interruption or cessation of transmission to or from the site, any bugs, viruses, Trojan horses or the like which may be transmitted to or through the Website by any third party and/or any errors or omissions in content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted or otherwise made available through the Website. SidekickID does not warrant, endorse, guarantee or assume responsibility for any product or service advertised or offered by a third party either through the Website, a hyperlinked website or any website or mobile application featured in any advertising.

15. Limitation of Liability & Indemnification

SidekickID and its directors, employees, members, independent contractors or agents shall not be liable to Client or any third party for any direct, indirect, consequential, incidental, special or punitive damages, including lost profit, lost revenue, lost data, attorneys’ fees, court costs, fines, forfeitures or other damages or losses arising from Client’s use of the Website. Client agrees to defend, indemnify and hold harmless, SidekickID and its subsidiaries, affiliates and all respective officers, members, agents, partners, employees and independent contractors from and against any loss, damage, liability, claim or demand including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) use of the Website; (2) breach of these Terms of Use; (3) any breach of Client’s representations and warranties set forth herein; (4) Client’s violation of the rights of any third party, including but not limited to intellectual property rights. Notwithstanding the foregoing, SidekickID reserves the right, at Client’s expense, to assume control and defense of any matter for which Client shall be required to indemnify SidekickID hereunder. Client agrees to cooperate with the defense of such claims.

16. User Data

Client is solely responsible for all data transmitted to or that relates to any activity Client has undertaken using the Website. SidekickID shall have no liability to Client for any loss or corruption of any such data and Client hereby waives any right of action against SidekickID from any such loss or corruption.

17. Electronic Communications & Signatures

Client hereby consents to receive electronic communications from SidekickID and Client agrees that all agreements, notices, disclosures and other communications sent via email or through the Website satisfy any legal requirement that such communication be in writing. Client hereby agrees to the use of electronic signatures, contracts, orders and other records, and to electronic delivery of notices, policies and records of transactions initiated or completed by SidekickID or through the Website. Client hereby waives any rights or requirements under any statutes, regulations, rules, ordinances or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records or to payments or the granting of credits by any means other than electronic.

18. Licensing Responsibility

Client agrees to assume full responsibility for any unauthorized use of images, fonts, or other content displayed on their website, communication channels, or any other mediums. It is the sole responsibility of the Client to ensure that all content utilized is properly licensed. While SidekickID may, in certain circumstances, hold appropriate licenses for the use of specific materials, such licenses are not transferrable to the Client unless explicitly stated in writing.

19. Showcasing Client Work

SidekickID reserves to right to share design work on digital channels including social media, website, etc. unless otherwise agreed upon. The Client reserves the right to issue an NDA between themselves and SidekickID , which in turn would void the right of SidekickID to share or discuss Client’s work publicly.

20. Miscellaneous

If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in effect.
